Most Australian companies are proprietary limited companies because this classification and type suits the needs of most businesses. (i) Reasons to Choose a Proprietary Company A proprietary company by comparison to a public company has simpler and therefore lower cost reporting obligations, is limited to 50 non employee shareholders’, ‘and between 1 to 50 members’ , a public company can have more. A proprietary company requires a minimum of one director a public company requires a minimum of three directors. The director or directors of proprietary company must ordinarily reside in Australia and be 18 years of age or older. A public company can be listed on the stock exchange and raise funds directly from the public by offering shares or debentures for sale’ a proprietary company cannot, however a proprietary company can offer shares to existing shareholders or employees. (b) Company Types There are two types of proprietary companies, companies limited by shares and companies unlimited with share capital. (i) Reason to Choose a Company Limited by Shares In the event that a company limited by shares does not have sufficient assets to meet its debts, each member is only liable for the amount, if any, that remains unpaid on their shares , ‘[L]imited liability means that members of a company are not personally liable for the full extent of their company’s debts. ’ This limitation of personal liability is the great advantage of this type of company. (ii) Reason Not to Choose a Company Unlimited with Share Capital An ‘unlimited company means a company whose members have no limit placed on their liability’ for their company’s debts. Unlimited companies are rarely used. Company Names A company name is optional; the company’s ACN can be used instead. C Registration by ASIC Registration is at ASIC’s discretion. 1 Issue of Certificate of Registration Sai Kung Pty Ltd will not exist, will not become incorporated, until ASIC registers the company and issues a certificate of registration. 2 Corporate Key ‘Within two days of registration, ASIC will also issue a corporate key to the company’s registered office address. ’ This is an eight digit number used to lodge forms with ASIC, access company records and receive annual statements online. SK did not appoint a company secretary. TVB commenced providing SK with professional and technical assistance to produce the television show. 2 February The contract with TVB was ratified by SK on 2 February. 20 February As at 20 February the shows production has not commenced and TVB has not been paid for its assistance. B The Law Applied to the Facts When Toto, on behalf of SK, entered into the contract with TVB, he acted as a promoter, ‘anyone who exerts themselves on behalf of a not-existent company’ . Toto the promoter was liable to pay TVB for their services in the event that SK did not register or SK did register but did not ratify the contract. On 2 February SK, a registered company since 12 January, ratified the contract with TVB. SK is now liable and bound by the contract made on its behalf on 5 January. However, in the event that SK does not pay TVB part or all of what is owed, Toto, as the promoter, remains liable. If Toto had obtained a release from TVB he would no longer be liable or ‘[a]n alternative way in which a company [SK] can become primarily liable is where the company [SK] and the other party [TVB] substitute a new contract in place of the pre-registration contract (otherwise known as â€Å"novation†). This discharges any liability of the promoter [Toto] in relation to the pre-registration contract. An effective novation requires the consent of both the company [SK] and the third party [TVB]. ’ C The Objective of the Section 133 of the Corporations Act ‘At common law, if a pre-registration contract was not performed neither the company nor the promoter were liable. The innocent other party was left with an unenforceable contract’, an example is the case Black v Smallwood . A promoter ‘was only bound if they intended to be bound’ as in the case Kelner v Baxter where ‘[t]he court examined the written contract and imputed and intention by [the promoter] Baxter to bind himself personally. ’ Section 133 of the Corporations Act states that Part 2B. replaces any rights or liabilities anyone would otherwise have on the pre-registration contract’ , ending the ‘uncertainty arising out of the laws of agency and contract. ’ ‘The issue of where liability lay for not fulfilling obligations incurred under pre-registratio n contracts is now governed entirely by the Corporations Act and its overriding aim is to ensure that the innocent other party [in this case TVB] is not left without legal remedy.

My father, my role model Essay

By Jem Finch At first, I thought Atticus was just a feeble, old man. He never took part in anything interesting; he didn’t play poker, stayed in an office, and didn’t go hunting or fishing like all the other men in town. He was never too tired to play keep-away, but when I asked if we could play tackle, he’d tell me: â€Å"I’m too old for that, son. † Whenever there was a football competition, he always told me he was too old for that too. All the other fathers went to it an’ all my father ever did was wear his glasses and read. I was embarrassed by him. Though, my whole opinion changed since the incident with the mad dog and the court hearing with Tom Robinson. I was flabbergasted! Miss Maudie said back in Atticus’ time, he was the deadest shot in town. They called him one-shot Finch and I couldn’t believe it until I saw it with my own eyes. I saw him differently then. I was most eager to brag about it too. But it wasn’t just the way he handled the gun that impressed me, it was also ’cause of his modesty. I could tell Scout hadn’t realised it, but Atticus never said a word about his marksmanship. I liked that part of him. I also liked his defence for Mr Robinson. Everyone had been against him for defending a coloured person, but Atticus held his head high. He provided an awful good argument too. I appreciated Atticus’ efforts and grew to respect him. He had taught me that true courage wasn’t a man behind a gun, but it’s when you keep on fighting even if you know you’d lose. I wished I could be more like my father. Then I could become a lawyer too. I figured I wouldn’t care if he couldn’t do a single blessed thing. Atticus is a gentlemen, just like me! By Charles Baker Harris I am real proud of my father. He did so many things for the country I can hardly remember them all. At one time he fought in a war to keep the other countries from invading us. Every now and then he’d show me his collection of the tags he took from the soldiers he killed, and the medals he had earned for his acts of bravery. But that wasn’t all he did. He did other things too. When he had time, he would go fishing and hunting with me. Once, we caught a fish so big it didn’t fit in the boat and we had to get a ship to drag it ashore. The other day he picked me up from his aeroplane and drove me all ’round the country. I could see all the houses from there. They were about the size of an ant and were nothing compared to the house my father had bought me. He was also the president at one time. That’s why he’s always got so much money. But I didn’t like how his job took up so much of his time. He couldn’t allocate any time to play with me then. Apparently he had more important things to do and he couldn’t go hunting with me no more. I didn’t like that. That’s why I decided to run off to Maycomb County to live with aunt Rachel. I thought it’d show him that he needed to spend more time with me. I met Jem and scout down at Maycomb County. Their father was called Atticus I think. But he wasn’t anything like my father; all he ever did was read all day. He was a boring person and weren’t any fun at all. I didn’t know how Jem and Scout got on with him. Seeing Atticus only reminded me of how great my father was. Maybe, in the summer, I’ll return to Washington and see my father again.

Evaluation of a groups work Essay

I will be evaluating two groups’ still images, on the subject of fame. The first group I have chosen is Matt, Sally, Elena and Naomi’s group. I liked there still images as I thought they used a good range of levels and had good spatial awareness. For their first still image they had a celebrity in the centre, two people trying to reach over and get autographs, and another person on the floor on her knees, taking pictures of the celebrity. I think this was a good image as it showed the after fame pictures. I liked the fact that Elena playing the celebrity, was in the centre and was the one standing up right, as two people were leant over, trying to get autographs, and the other person was on the floor taking a picture. This showed levels and status, it showed that she was the centre of attention, and the person getting all the attention, whilst the others were at a lower status and have a much lower status in society. We can tell this as they are at lower levels than the person in the middle. The second image displayed good spatial awareness, as each individual thing that was represented had its own space, and it was very clear and easy to see what the meaning of it was. It represented a lifestyle of sex, drugs and fame. In one corner there was two people hugging, in the centre there was a person laying on the floor, and to the other side and slightly to the back was a person reading a newspaper story, of the things going on around her. I think the people were positioned carefully and the levels were also varied. However I think this still image could have been improved slighty, by bringing the person reading the story forwards, so that what she is reading is going on behind her. This would make it clearer that she is reading these things about sex and drugs. The second group I have chosen is Lucy, Laura, Beth and Bens’ group. I liked their still images, as they were both a negative one and a positive one. Their first still image their was one person in the middle, surrounded by paparazzi. This also shows status, as all the paparazzi were bent over at different levels trying to get a picture, it shows that the person in the middle has the most attention, and has the highest status. However the person doesn’t want to be photographed, and is trying to turn away from the cameras. This is an after fame still image, and in my opinion shows that the celebrity, is maybe not ready for fame and is very new in this society. The second still image shows a pro fame image. There is 4 girls in a row striking a pose, it seems like this is a photo from just before they become famous. These two images show contrast, as the first image shows someone who is in the lime light but maybe is not to keen to be, and the second image is the complete opposite with a girl band posing for the camera lapping up all the limelight and absorbing their first few seconds of fame, thinking that they are going to get all the fame and glory.

La primera condicià ³n de la visa es pertenecer a uno de los paà ­ses con los que USA tiene un acuerdo de ese tipo. Listado de pases cuyos ciudadanos o compaas pueden solicitar una visa E-1 Hay que ser de un paà ­s con el que Estados Unidos tiene un acuerdo de comercio que permite privilegios migratorios.
